Terms of Service & SaaS Rental Licensing Agreement

Important legal notice governing the use of DarsFlow™ School Management Platform. DarsFlow is a proprietary SaaS product developed and owned by NexCodea Tech.

NexCodea Tech — DarsFlow™ SaaS Subscription & Rental Licensing Agreement

Last Updated: November 2026 · Effective for all registered schools, tenants, owners, and institutional users.

1. Software-as-a-Service (SaaS) Rental Model — No Transfer of Ownership

DarsFlow™ is provided strictly on a rental / software subscription basis. Payment of monthly, quarterly, or annual package fees grants the subscriber a limited, non-exclusive, revocable, and non-transferable license to access and use the cloud application during the active paid period.

Under no circumstances does subscription or usage constitute a sale or transfer of the software, source code, design architecture, workflows, algorithms, or intellectual property. Full ownership of DarsFlow™ remains exclusively with NexCodea Tech.

2. Intellectual Property, Duplication & Copyright Restrictions

All rights, title, trademarks, brand assets, user interfaces, database schemas, code, and documentation of DarsFlow™ are the sole property of NexCodea Tech and are protected under national and international copyright and intellectual property laws.

Strict Prohibition Against Duplication: Subscribers, school administrations, staff, contractors, or affiliated third parties are strictly prohibited from copying, cloning, decompiling, reverse engineering, disassembling, redistributing, reselling, white-labeling without authorization, or creating derivative works based on DarsFlow™. Any breach will be aggressively prosecuted under applicable civil and criminal statutes.

3. Data Export & Technical Extraction Fee Policy

The subscribing school retains ownership of its raw institutional data (student records, staff profiles, attendance logs, and fee entries). If a subscriber decides to terminate their subscription and formally requests an offline export of their school data:

Data export is delivered upon written request from the verified school owner.
Variable Technical Extraction Fee: There is no fixed nominal price for database extraction and archiving. The fee will be calculated at the time of the request based on prevailing currency values (PKR/USD), total database record count, uploaded media volume (photos, challans, documents), and required engineering hours.
Data is provided in standard portable formats (CSV/SQL/JSON) only after full settlement of all outstanding dues and extraction fees.

4. 90-Day (3-Month) Inactivity & Data Expiration Policy

Schools are solely responsible for maintaining their active subscription status. If an account remains inactive or fails to renew any package for more than three (3) consecutive months (90 days):

Limitation of Liability for Expired Data: After 90 days of continuous non-renewal, NexCodea Tech and DarsFlow are not responsible or liable for any data loss, corruption, or deletion. Inactive tenant containers, databases, and uploaded assets may be permanently purged or destroyed from cloud servers to optimize resources without prior liability.

5. Hosting, Infrastructure & Maintenance Scope

DarsFlow runs on secure containerized cloud infrastructure. Subscription fees cover application hosting, routine database maintenance, bug fixes, software updates, automated daily backups, and designated messaging infrastructure (WhatsApp notification gateways or Email alerts as dictated by the chosen package). Message delivery logs are retained for a limited period for support and dispute resolution.

NexCodea Tech exercises best engineering efforts to ensure 99.5% service uptime. However, NexCodea Tech is not liable for upstream network interruptions, WhatsApp protocol policy changes by Meta, or local telecommunications downtime.

6. Acceptance & Modifications

By registering a school, checking the agreement box during onboarding, or logging into DarsFlow, the school owner and administrators agree to be bound by all terms in this Agreement. NexCodea Tech reserves the right to amend these terms with prior notice published on the platform.
